These Commission Terms supplement the main Terms & Conditions. If they conflict, the written commission agreement takes priority for the specific project, except that mandatory legal rights always apply.

1. The brief and quotation

The commission begins with a written brief recording the subject, dimensions, medium, presentation or framing, edition status, key colours or references, intended use, delivery destination, price, payment stages, estimated completion window, included revisions and any agreed confidentiality. A quotation is valid for [NUMBER] days unless stated otherwise.

The artist retains creative discretion over matters not fixed in the brief. Handmade work will not be an exact mechanical copy of a reference, mock-up or previous artwork. Material changes requested after approval may require a revised price and timetable.

2. Deposit and contract formation

A booking deposit of 75% is due before work is scheduled. The contract forms when we accept the commission in writing and receive the required deposit. The quotation will state whether the deposit is a part-payment and explain any cancellation consequences.

We do not label a deposit “non-refundable” regardless of circumstances. If the customer lawfully cancels or ends the contract, any amount retained will be limited to work properly completed and losses or costs we may lawfully recover. If we cancel without customer breach, sums paid for unperformed work will be refunded.

3. Timetable

The estimated completion date is WINDOW. It may change if approvals, source material or payments are late; the brief changes; materials become unavailable; or events outside reasonable control intervene. We will communicate material delay. A deadline is binding only where expressly confirmed as essential in writing.

4. Approvals and revisions

The price includes 3 rounds of revisions at the CONCEPT stage. Feedback must be consolidated and supplied within 2 days. Additional rounds, reversals of an approved decision, or changes outside the brief are charged at RATE after approval of a change quotation.

Approval of a stage authorises us to proceed. Later changes may be impossible or may affect the finish, price or timetable. Approval does not remove rights where the finished work fails to match the agreed brief or legal standards.

5. Customer-provided material and permissions

The customer confirms that they own or have permission to use any photograph, logo, text, likeness or other material supplied for the commission and that the requested use is lawful. If a living person's recognisable image is supplied, the customer confirms that any necessary permission has been obtained. We may require evidence and may refuse content we reasonably believe is unlawful or infringing.

This confirmation does not transfer responsibility for creative choices introduced solely by us, and it does not guarantee that a disclaimer cures third-party intellectual-property infringement.

6. Cancellation and cooling-off rights

Because the finished product is normally made to the customer's specifications or clearly personalised, the statutory change-of-mind right for the goods will normally not apply. Before starting any service element during a cancellation period, we will request the customer's express instruction where required. If a statutory cancellation right applies and is exercised after requested work begins, the customer may owe a proportionate amount for work properly performed up to cancellation where law permits.

If the customer cancels outside a statutory right, we will provide a reasonable breakdown of completed work, committed materials and avoidable savings. The customer pays only amounts due under the agreement and law; any balance will be refunded. Faulty or misdescribed work remains subject to statutory remedies.

7. Payment and delivery

Final cleared payment is due before dispatch or collection unless agreed otherwise. Delivery, customs, risk and damage provisions in the main Terms apply. Ownership of the physical work passes after full payment and delivery.

8. Copyright, publicity and confidentiality

Ownership of the physical commissioned artwork does not transfer copyright or reproduction rights. The permitted use is PRIVATE DISPLAY. Commercial reproduction, merchandise, licensing, NFT creation and promotional use require a separate written licence.

We may photograph and display the completed commission in our portfolio, Site, social media and exhibitions after delivery, while avoiding unnecessary personal details. / We will seek separate written permission before publicly displaying the commission.

9. Final acceptance and problems

Inspect the work promptly after delivery. Contact Teammillz@stanleymillz.com with any problem. A request to change an element that matches the approved brief is not necessarily a defect, but we will assess it fairly. Nothing in this section shortens statutory limitation periods or removes remedies for lack of reasonable care and skill, faulty goods or misdescription.
